OVERVIEW

Welcome to SproutKit! The terms “we,” “us,” and “our” refer to SproutKit. We operate this website and store, including all related information, content, features, tools, products, and services (the “Services”). Our store is powered by Shopify, which enables us to provide the Services.
These Terms of Service (the “Terms”), together with any policies referenced here (for example, our Privacy Policy and Refund Policy), describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. ACCESS & ACCOUNT

You represent that you are at least the age of majority in your place of residence, or you have consent from a parent/guardian to use the Services. We may ask for information such as your email, billing, payment and shipping details. You warrant that all information you provide is accurate, current, complete and that you have the right to provide it. You are responsible for safeguarding your credentials and for all activity under your account. You may not transfer, sell, assign or license your account to anyone else.

2. OUR PRODUCTS

We strive to display product information accurately; however, colours and appearance may vary because of your device and settings. We do not warrant that any product or service will meet your expectations or match images exactly. Descriptions, pricing and availability may change without notice. We may discontinue or limit products, including by person, region or jurisdiction, at our discretion.

3. ORDERS

When you place an order, you make an offer to purchase. We may accept or decline any order at our discretion. An order is accepted only when we confirm acceptance and process your payment. Review your order carefully; we may not be able to accommodate cancellation requests once an order is accepted. If we decline, change or cancel an order, we will attempt to contact you using the details you provided at checkout. Purchases are subject to our Refund Policy. You warrant purchases are for personal/household use and not for resale or export.

4. PRICES & BILLING

Prices, discounts and promotions may change without notice. The price in effect at the time of purchase will appear in your order confirmation email. Unless stated otherwise, prices exclude taxes, shipping, handling, customs or import charges. You agree to provide current, complete and accurate purchase and account information and to promptly update payment details (for example, card expiration date or billing address). You represent that (i) you are authorised to use the payment method provided; (ii) charges will be honoured; and (iii) you will pay all amounts due, including applicable taxes and shipping.

5. SHIPPING & DELIVERY

Delivery dates are estimates only. We are not liable for delays caused by carriers, customs or events beyond our control. Title and risk of loss pass to you when we transfer products to the carrier.

6. RETURNS & REFUNDS

Returns, exchanges and refunds are handled under our Refund Policy. Please review it before purchasing.

7. INTELLECTUAL PROPERTY

All content and materials in the Services—including trademarks, text, graphics, images, video/audio, designs, and their selection and arrangement—are owned by SproutKit or its licensors and protected by applicable intellectual‑property laws. You may use the Services for personal, non‑commercial purposes only. You may not copy, modify, create derivative works of, publicly display, perform, republish, download, store or transmit any materials without our prior written consent, except as permitted by law. SproutKit names, logos and marks are our trademarks. Shopify’s names and marks are trademarks of Shopify. All other marks belong to their respective owners.

8. OPTIONAL TOOLS

We may provide access to third‑party tools as‑is and as‑available, without warranties or endorsements. We are not liable for your use of such tools. Use is at your sole risk and subject to those providers’ terms.

9. THIRD‑PARTY LINKS

The Services may link to third‑party sites or embed third‑party content. We do not control or endorse these sites and are not responsible for their content, policies or practices. Your use of third‑party sites is at your own risk. Direct any issues to the third party.

10. RELATIONSHIP WITH SHOPIFY

SproutKit is powered by Shopify. Your purchases are made directly with SproutKit. You acknowledge that Shopify is not responsible for any aspect of sales between you and SproutKit. You release Shopify and its affiliates from claims arising from or related to your purchases and transactions with SproutKit.

11. PRIVACY

Personal information collected through the Services is governed by our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes certain personal data to operate and improve the Services. See Shopify’s privacy terms and our Privacy Policy for details. By using the Services, you consent to these practices and cross‑border transfers where applicable.

12. FEEDBACK & USER CONTENT

If you submit ideas, suggestions, reviews or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty‑free licence to use, reproduce, modify, publish, distribute and display the Feedback for any purpose. You represent that you own or have rights to the Feedback, have disclosed any compensation and that your Feedback complies with these Terms. We may monitor, edit or remove content we deem unlawful, infringing or objectionable.

13. PROHIBITED USES

You agree to use the Services lawfully and not to: violate laws; infringe intellectual‑property rights; harass or harm others; transmit false or misleading information; send spam or unsolicited promotions; upload malware; scrape or crawl; collect personal information without consent; circumvent security; or otherwise interfere with the Services. We may suspend or terminate access if you violate these Terms.

14. TERMINATION

We may suspend or terminate the Services (in whole or part) at any time without notice. You remain responsible for amounts due through the termination date. Sections intended to survive (including Intellectual‑Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law and Changes) will survive.

15. DISCLAIMER OF WARRANTIES

Except as expressly stated, the Services and products are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, title and non‑infringement). We do not warrant uninterrupted, timely, secure or error‑free operation. Some jurisdictions do not allow certain disclaimers; those limitations may not apply to you.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, SproutKit and our officers, employees, agents, partners, service providers and licensors (and Shopify and its affiliates) shall not be liable for indirect, incidental, special, consequential, punitive or similar damages (including lost profits, revenue, savings, data or replacement costs) arising from or related to your use of the Services or any products, even if advised of the possibility.

17. INDEMNIFICATION

You agree to indemnify and hold harmless SproutKit, Shopify and our respective affiliates, officers, directors, employees, agents, contractors, licensors and service providers against third‑party claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law or third‑party rights, or use of the Services. We may control the defence and settlement (at your expense) and will not agree to non‑monetary obligations for you without your consent (not unreasonably withheld).

18. SEVERABILITY

If any provision is found unlawful, void or unenforceable, it will be enforced to the maximum extent permitted, and the remainder will remain in effect.

19. WAIVER; ENTIRE AGREEMENT

Our failure to enforce a right is not a waiver. These Terms (plus policies referenced here) constitute the entire agreement between you and us and supersede prior communications.

20. ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without consent.

21. GOVERNING LAW

These Terms are governed by the laws and courts of the jurisdiction where SproutKit is headquartered. You consent to venue and personal jurisdiction in those courts.

22. HEADINGS

Section headings are for convenience only and do not limit the Terms.

23. CHANGES TO TERMS

We may update these Terms by posting a new version on the website. We’ll notify you of material changes as required by law; changes are effective on the date specified. Continued use of the Services after changes means you accept the updated Terms.
